THIS AGREEMENT CONTAINS BINDING CLASS ACTION AND JURY TRIAL WAIVER CLAUSES IN SECTION 9 BELOW THAT ARE APPLICABLE TO YOU AND US.

These Terms of Service (“Terms,” “Agreement”) are an agreement between Fresh Road Inc. (“Fresh Road,” “we,” “us”) and the person (natural or legal) (“you,” “your,” “Customer”) and govern your use of the www.freshroad.com website (the “Site”), as well as Fresh Road’s professional, AI automation, and workforce agent services (the “Services”).

Your use of the Site and Services is conditioned on your acceptance without modification of the terms, conditions, and notices contained herein, including but not limited to Fresh Road’s Privacy Policy, as amended from time to time.

If you are accessing or using the Site or Services on behalf of your company, you certify that you have the authority to accept this Agreement on its behalf. By signing up, accessing, or using the Site or Services, you acknowledge your acceptance of this Agreement and consent to be bound by its terms and conditions. Violations of these Terms may result in suspension or termination of Service and potential legal action.

Persons under the age of 13 are not authorized to use the Site.

1. Our Services

1.1 Cloud Service
Fresh Road provides an AI workforce platform that enables small to medium businesses to deploy AI-powered agents for customer engagement, automation, and workflow support. Our Services may include API integrations, dashboards for configuration and analytics, and tools for customer support, sales, information gathering, and business automation.

1.2 Professional Services
Beyond standard support, Fresh Road may provide customized professional services such as consultations, advanced implementation, workflow optimization, and other business-specific solutions. Contact us at support@freshroad.com for more details.

2. Payment Terms

2.1 Payment
Pricing information is provided at https://www.freshroad.com. Services are charged on a subscription basis (“Subscription Period”). By signing up, you authorize Fresh Road to charge your provided payment method for all applicable fees, taxes, and charges. All fees are non-refundable except where required by law or otherwise explicitly provided in these Terms.

2.2 Subscription and Renewal
If you wish to cancel, you must terminate your subscription before the end of the current Subscription Period. Failure to cancel will result in automatic renewal for the next Subscription Period.

2.3 Automatic Payment
You authorize Fresh Road or its billing agents to charge your payment method automatically at the end of each billing cycle until all amounts are paid in full.

2.4 Payment Information
You must provide and maintain accurate billing information. Fresh Road is not responsible for penalties or charges imposed by your card issuer for failed payments.

2.5 Billing and Invoices
Invoices may be issued electronically. Requests for additional invoices or detailed usage records may incur administrative charges.

2.6 Late Payments
Unpaid invoices are due within 14 days. A 7-day grace period applies before services may be suspended. Late payments may incur fees up to 10% of the overdue balance or the maximum allowed by law. You are also responsible for all costs of collection, including legal fees.

2.7 Service Changes
Fresh Road may update rates at any time by posting changes on its pricing page. The new rates will apply to your next billing cycle.

3. Customer Responsibilities

You are solely responsible for:

Your use of the Services.
All content, data, and inputs you provide.
Ensuring compliance with applicable laws and regulations.
Protecting your account credentials.

4. Acceptable Use Policy

4.1 In General
You may only use the Services for lawful purposes. You must not disrupt, abuse, or misuse Fresh Road systems. Prohibited uses include harassment, fraud, misrepresentation, infringement of third-party rights, and unauthorized access attempts.

4.2 Fraud Prevention and Fair Use
You may not use Services to engage in fraudulent schemes, misleading promotions, or deceptive practices. You may not impersonate real individuals, misuse voices, or use AI agents in ways that violate consent, publicity, or intellectual property laws.

5. Indemnification

You agree to indemnify and hold harmless Fresh Road, its officers, directors, employees, and agents from claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising out of your misuse of the Services, violation of these Terms, or infringement of third-party rights.

6. Warranty Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE.” Fresh Road makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

7. Beta, Evaluation, and Trial Services

From time to time, Fresh Road may offer beta or trial services. Such services are provided without warranty and may be modified or discontinued at any time.

8. High-Risk Use Disclaimer

The Services are not designed for use in safety-critical applications such as healthcare, aviation, or emergency systems. Fresh Road disclaims liability for such uses.

9. Limitation of Liability

Fresh Road will not be liable for indirect, incidental, or consequential damages. Our aggregate liability will not exceed the greater of (a) the amount you paid to Fresh Road in the 12 months preceding the claim, or (b) $100 if you are using free or trial services.

10. Intellectual Property Rights

Fresh Road retains ownership of all platform IP, models, algorithms, and related technology. Customers retain ownership of their data but grant Fresh Road a license to process and analyze it for service delivery. You may not reverse-engineer or use Services to build competing products.

11. Data Security and Privacy

Fresh Road implements reasonable security measures and complies with its Privacy Policy. Customers are responsible for their own credentials and compliance with data protection laws.

12. Modifications to Terms

Fresh Road may update these Terms at any time by posting a revised version on the Site. Continued use of the Services constitutes acceptance.

13. Governing Law and Dispute Resolution

13.1 Governing Law
This Agreement is governed by the laws of the State of Delaware, USA.

13.2 Dispute Resolution
Disputes shall be resolved in the state or federal courts located in Delaware. Both parties waive jury trial rights and agree not to bring class actions.
